Terms of Service | Triple Gem Trading

1. Acceptance of Terms

By accessing or using Triple Gem Trading (the "Service"), operated at triplegemtrading.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Triple Gem Trading is a software interface that allows users to interact with their existing brokerage accounts through official Trader APIs. The Service provides a user interface for viewing account data, placing trades, and monitoring market information.

Triple Gem Trading is not a broker-dealer, investment advisor, financial planner, or financial intermediary of any kind. We do not hold, manage, or have access to your funds, securities, or brokerage accounts. All trading activity is executed directly between your browser and your brokerage's servers.

3. License and Access

Access to the trading application requires a valid access key issued by Triple Gem Trading. Each subscription includes two (2) access keys for use on the subscriber's own devices. Additional devices may be added for an extra monthly fee.

Access keys are non-transferable and are strictly for use by the original subscriber. Each key is permanently bound to a single device upon first activation. Keys may be revoked at our discretion for violation of these Terms.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

4. User Responsibilities

You are solely responsible for:

Safeguarding your brokerage API credentials (App Key, App Secret)
Maintaining the security of your encryption passphrase
All trading decisions and activity conducted through the Service
Compliance with your brokerage's terms of service and API usage policies
Ensuring the security of the device(s) on which you use the Service
Understanding the risks associated with securities trading

5. Prohibited Uses

You agree not to:

Share, resell, transfer, or redistribute your access key(s) to any other person. Sharing or transferring access keys — including add-on device keys — will result in immediate termination of your entire subscription and revocation of all associated keys, without refund
Attempt to reverse engineer, decompile, or disassemble the Service
Use the Service for any unlawful purpose or to facilitate unlawful activity
Interfere with or disrupt the integrity of the Service
Attempt to gain unauthorized access to any part of the Service
Use automated scripts, bots, or scraping tools against the Service

6. No Investment Advice

The Service does not provide investment advice, recommendations, or solicitations of any kind. Any market data, quotes, or information displayed through the Service is provided by your brokerage and is for informational purposes only.

You should consult with a qualified financial advisor before making any investment decisions. Past performance is not indicative of future results. Trading securities involves risk, including the possible loss of principal.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy of any market data, quotes, or information provided through the Service by your brokerage.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRIPLE GEM TRADING AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES, WHETHER DIRECT OR INDIRECT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes, without limitation, damages arising from: trade execution errors, API downtime, data inaccuracies, unauthorized access to your credentials due to device compromise, or any action taken based on information displayed by the Service.

9. Indemnification

You agree to indemnify and hold harmless Triple Gem Trading and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Service, your violation of these Terms, or your trading activity.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your license to use the Service will immediately cease.

11. Changes to These Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.
